Terms of Service

This page is modeled on a creator-network legal framework and adapted for Ascendant Livestream.

1. Introduction

Ascendant Livestream ("Ascendant Livestream," "we," "our," or "us") is a TikTok LIVE creator network. These Terms of Service ("Terms" or "ToS") govern your access to and use of our website and all products, programs, coaching, campaigns, applications, Discord servers, email communications, and any other services we provide (collectively, the "Services"). By accessing or using any part of the Services, you agree to be bound by these Terms.

2. Definitions

  • "Creator" - A person or entity who has applied to or joined the Ascendant Livestream Creator Network.
  • "Content" - Any text, graphics, photos, videos, audio, livestreams, or other materials posted, streamed, or otherwise made available via TikTok or any other platform by a Creator.
  • "Platform" - TikTok and any third-party social platform, payment provider, or software tool that interacts with the Services.
  • "Creator Network Agreement"- The in-app agreement facilitated by TikTok between each Creator and Ascendant Livestream through TikTok's Creator Network interface. If any clause in that Creator Network Agreement directly conflicts with these Terms, the Creator Network Agreement controls.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Services, as well as fulfilling other creator-network eligibility requirements stipulated by the Creator Network. By using the Services, you represent and warrant that you meet this requirement.

4. Acceptance of Terms

By accepting the TikTok Creator Network Agreement, joining our Creator Network, clicking "I accept," or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.

5. Services We Provide

We offer, without limitation:

  • Talent scouting and onboarding - identifying, vetting, and inviting potential creators to join the Ascendant Livestream Creator Network.
  • Content and growth strategy - one-on-one coaching, campaign briefs, and "battle" preparation.
  • Campaign management - guidance and administration for TikTok LIVE campaigns.
  • Resource hub access - guides, templates, calculators, analytics dashboards, Discord channels, and third-party tools.
  • Unban and compliance support - liaising with TikTok on account or livestream issues, subject to TikTok policies.
  • Physical rewards and merch - as set out in campaign rules or incentive programs.

We may modify, replace, suspend, or discontinue any Service (or part thereof) at any time. Where a change materially affects Creators, we will give reasonable notice by email, Discord announcement, or similar means.

6. Relationship of Parties

Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency in law. Ascendant Livestream acts as an independent contractor. Creators remain solely responsible for taxes, visas, insurance, and their compliance with TikTok platform policies.

7. Account Registration and Security

To access certain Services, you may need to create accounts on our website, Discord, or other tools. You agree to provide accurate information and keep it updated, maintain the confidentiality of login credentials, and immediately notify us of any unauthorized use. You are liable for all activities that occur under your credentials.

8. Payments

Performance-bonus model.Ascendant Livestream does not deduct any commission from your diamonds, gifts, or other creator payouts. Instead, TikTok may pay Ascendant Livestream separate performance bonuses from TikTok's own revenue share when the agency meets metrics such as total diamond volume, campaign rankings, or creator milestones. These bonuses never reduce your share.

Optional incentive pass-through. We may, at our sole discretion, channel part of our agency bonuses back to Creators via top-up diamonds, merch kits, or cash prizes. These incentives are goodwill perks, not guaranteed entitlements, and can be changed or withdrawn at any time.

Creator expenses. You remain responsible for any costs you incur in producing or streaming content unless we have agreed in writing to cover them.

Currency and taxes. All amounts are in Australian or New Zealand dollars unless stated otherwise. You are responsible for meeting your own tax obligations and should seek professional advice where needed.

9. Creator Obligations

By participating in the Services, you agree to:

  • Abide by TikTok Terms of Service, Community Guidelines, campaign rules, and TikTok's Creator Code of Conduct (https://www.tiktok.com/creator-academy/en/article/creator-code-of-conduct). This includes refraining from hate speech, harassment, bullying, sexual exploitation, illegal activity, violent content, misinformation, scams, extortion, sexual misconduct, or any content that violates law. You must not post or encourage activities involving drugs, weapons, self-harm, child exploitation, or other illegal or prohibited conduct.
  • Maintain an active, positive presence on TikTok, including compliance with content and conduct policies.
  • Provide truthful, complete information to us when requested (for example analytics screenshots or ID verification).
  • Communicate promptly via designated channels (Discord, email, or TikTok DM) and attend scheduled coaching sessions or check-ins where feasible.
  • Refrain from entering into conflicting management agreements without notifying us in writing.
  • Respect confidentiality of any non-public information you receive from us.

9A. Independent Business Status

  • Creators acknowledge they are independent business owners responsible for their own taxes, insurance, superannuation, and compliance obligations. Ascendant Livestream does not employ, engage as staff, or direct the day-to-day operations of Creators.
  • Creators release and indemnify Ascendant Livestream from any liability arising from Creator business activities, including but not limited to tax issues, employment claims, or regulatory obligations.

9B. Creator Disputes and Conduct

  • Ascendant Livestream will not mediate, arbitrate, or otherwise involve itself in personal disputes between Creators, or between Creators and moderators, followers, or third parties (inside or outside the agency).
  • Creators are solely responsible for resolving their own disputes and for ensuring their conduct toward other individuals on TikTok complies with platform policies and applicable law.

9C. Compliance with Laws and Legal Matters

  • Creators must comply with all applicable laws, regulations, and TikTok policies while using the Platform and Services.
  • Ascendant Livestream is not responsible or liable for any unlawful, fraudulent, or otherwise improper acts committed by Creators, whether on or off the Platform.
  • If a Creator becomes the subject of legal claims, investigations, or proceedings (including but not limited to allegations of fraud, harassment, extortion, or other criminal activity), the Creator must promptly notify Ascendant Livestream.
  • Ascendant Livestream reserves the right to suspend or terminate a Creator's participation immediately upon learning of such matters, without any liability to the Creator.

9D. Non-Solicitation and Anti-Espionage

  • Creators must not share, disclose, or provide Ascendant Livestream's non-public information, coaching materials, campaign strategies, Discord content, or other internal resources to competing agencies, managers, or third parties.
  • Creators must not act on behalf of, or at the direction of, another agency or manager while participating in the Ascendant Livestream Creator Network.
  • Creators must not solicit, encourage, or assist other Creators in leaving Ascendant Livestream for another agency.
  • Any breach of this section may result in immediate termination from the Creator Network and potential legal action for damages.

10. Ascendant Livestream Obligations

We commit to:

  • Acting in good faith and with commercially reasonable care in providing Services.
  • Using our best efforts to represent your interests when interacting with TikTok, brands, or other third parties.
  • Maintaining confidentiality of your personal information, analytics, and financial data as described in our Privacy Policy.
  • Giving reasonable notice of material changes to Services or policies.
  • Treating all Creators fairly and without unlawful discrimination.

11. Term and Termination

Start. These Terms apply from the moment you first access the Services and continue until terminated.

Creator opt-out. You may terminate your participation at any time by providing written notice to [email protected] or by leaving the Creator Network in-app.

Agency termination. We may terminate or suspend access to the Services immediately if you breach these Terms, violate platform policies, engage in misconduct that harms our reputation, or become inactive for 90 days or more.

Effect of termination. Sections relating to intellectual property, confidentiality, indemnification, limitation of liability, and dispute resolution survive termination.

Additional right.We reserve the right to suspend or terminate your participation if your actions (including off-platform conduct) place Ascendant Livestream's reputation or TikTok relationship at risk.

12. Intellectual Property

Creator Content. You retain all rights in and to your Content. By using the Services you grant Ascendant Livestream a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute your Content solely for the purpose of providing the Services, promoting you, or marketing Ascendant Livestream.

Ascendant Livestream IP. All materials we provide - logos, guides, templates, graphics, software, or other resources - remain our property. We grant you a limited, revocable, non-transferable license to use them for your personal, non-commercial creator activities. You must not share or sell these materials without our written consent.

13. Confidentiality

Both parties agree to keep confidential and not disclose to any third party any non-public information obtained in connection with the Services, except as required by law or platform policy.

14. Privacy and Data

Our collection and use of personal information is governed by the Ascendant Livestream Privacy Policy. By using the Services you consent to that collection and use.

15. Disclaimers

  • No guarantee of earnings. We cannot guarantee any specific level of income, follower growth, or campaign result. TikTok algorithms and viewer behavior are outside our control.
  • Third-party platforms. We do not control TikTok or any other Platform. If TikTok changes its rules, suspends your account, or terminates its own services, we are not liable.
  • No professional advice. Information we provide is for general guidance only and is not legal, financial, or tax advice. Seek your own professional advisers where needed.
  • Not responsible for Creator disputes. We expressly disclaim responsibility for disputes, harassment, or conflicts between Creators, moderators, or other TikTok users.

16. Limitation of Liability

To the maximum extent permitted by law, Ascendant Livestream will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Services.

17. Indemnification

You agree to indemnify and hold harmless Ascendant Livestream and its officers, directors, employees, contractors, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
  • your Content;
  • your breach of these Terms or any Platform policy;
  • your violation of any law or the rights of a third party;
  • any disputes, misconduct, or harm involving other Creators, moderators, or TikTok users;
  • your failure to meet tax, insurance, or business obligations; and
  • any criminal, fraudulent, or unlawful acts committed by you.

18. Changes to Terms

We may revise these Terms at any time. When we do, we will provide notice (for example by email). Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. These Terms supersede all prior versions and apply to your continued participation in the creator network.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising out of or relating to these Terms or the Services must first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute will be submitted to binding arbitration under the Resolution Institute Arbitration Rules. The place of arbitration will be Sydney, Australia. Each party bears its own costs.

20. Miscellaneous

  • Entire agreement. These Terms, together with the TikTok Creator Network Agreement (where applicable) and our Privacy Policy, constitute the entire agreement between you and Ascendant Livestream.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any right or provision is not a waiver of future enforcement.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger or sale.
  • Electronic communications. You consent to receiving communications from us electronically and agree that notices, agreements, and disclosures satisfy legal writing requirements.
  • Publicity. You grant Ascendant Livestream the right to reference you as a Creator in our marketing, including use of your name, likeness, and content thumbnails, unless you withdraw consent in writing.
  • Survival. All disclaimers, indemnification, and limitation of liability provisions survive termination.
